These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Subject to Section 19, you agree that the exclusive jurisdiction and venue for any dispute not subject to arbitration shall lie in the state and federal courts located in California, and you consent to the personal jurisdiction of such courts.
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by final and binding arbitration administered on an individual basis, rather than in court, except that either party may seek relief in a small-claims court for qualifying claims. YOU AND MJL PROPERTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. You agree to waive any right to a trial by jury to the extent permitted by law.
We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Site or any portion of it, and to revise these Terms, at any time and without notice. Any changes are effective when posted. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
We may, in our sole discretion and without notice or liability, suspend or terminate your access to all or any part of the Site at any time and for any reason. Provisions that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and MJL Properties regarding the Site and supersede all prior understandings. If any provision is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them freely.
